Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Season Seats website, applications, and services (collectively, the “Service”), operated by [Legal entity name](“Season Seats,” “we,” “us,” or “our”), a company organized under the laws of Canada with its registered office at [address]. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Service. When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Account creation and authentication are handled by our identity provider, Clerk. Notify us promptly at hello@seasonseats.ca if you suspect any unauthorized use of your account.
If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and “you” refers to both you and that organization.
2. The Service
Season Seats helps organizations manage their corporate season-ticket inventory — importing schedules, letting team members claim games, approving claims, and surfacing unclaimed seats. We may add, change, or remove features over time. We do not sell, resell, or issue event tickets, and we are not responsible for the availability, validity, transfer, or use of any tickets or seats managed through the Service.
3. Acceptable use
You agree not to:
- use the Service in violation of any applicable law, regulation, or third-party right;
- upload or transmit any content that is unlawful, infringing, or that you do not have the right to share;
- attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service;
- probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measure;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent such restriction is prohibited by law;
- use the Service to send spam or unsolicited communications, or to build a competing product;
- misuse the Service in a way that could damage, disable, or impair it or interfere with any other party's use.
4. Your content
You retain all rights in the content and data you submit to the Service (“Your Content”), including schedules, claims, and records of who used which seats. You grant us a worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate, maintain, and improve the Service. You are responsible for Your Content and for ensuring you have the rights and any necessary consents to submit it — including information about your team members and their guests.
5. Subscriptions, plans, and payment
The Service offers a free plan and a paid “Pro” plan. Pro is billed as a one-time charge of USD $199 per season (not a recurring subscription). Prices are stated exclusive of applicable taxes, which will be added where required.
Payments are processed by our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms and authorize us and Stripe to charge your chosen payment method. We do not store your full payment card details; those are handled directly by Stripe. You are responsible for providing valid, current payment information.
Because Pro is charged per season, it does not automatically renew. To use Pro in a subsequent season, you upgrade that season. Any refunds are handled as described in Section 6.
6. Refunds
If the Pro plan is not the right fit, contact us at hello@seasonseats.ca within 14 days of your purchase and we will refund that purchase. Except as described here or as required by applicable law, fees are non-refundable.
7. Free plan and beta features
We may offer free plans and features that are identified as beta, preview, or early access. These are provided “as is” and may be changed or discontinued at any time. We may set or adjust usage limits for the free plan.
8. Third-party services
The Service relies on third-party providers, including Clerk (authentication), Stripe (payments), PostHog (product analytics), and Resend (transactional email). Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions. The Service may also link to or integrate with third-party websites or services that we do not control.
9. Intellectual property
The Service, including its software, design, and content (excluding Your Content), is owned by Season Seats or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. We reserve all rights not expressly granted.
10. Feedback
If you send us suggestions or feedback, you grant us a royalty-free, perpetual, irrevocable license to use it for any purpose without obligation to you.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any empty-seat alert, reminder, or record will be accurate, timely, or complete. You are responsible for your own decisions about how seats are claimed, approved, and used.
12. Limitation of liability
To the maximum extent permitted by law, Season Seats and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service. Our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Season Seats from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or any applicable law.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive. We handle your data on termination as described in our Privacy Policy.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting a notice on the Service or updating the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of the Province of [province] and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in [province], Canada for any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.
